1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the website at wakeproductions.xyz and the AI automation services provided by Wake Productions ("we", "us", "our"). By using our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Our Services

Wake Productions provides AI-powered automation systems for businesses, including but not limited to database reactivation, speed-to-lead response, out-of-hours enquiry handling, Google review management, abandoned cart recovery, and social media reply automation ("Services"). Specific deliverables, pricing, and scope for each client are set out in a separate agreement or order form ("Order Form").

3. Client Data & Lead Lists

To deliver our Services, clients may provide us with contact databases, lead lists, or customer data ("Client Data"). By submitting Client Data, you confirm that you own or have the legal right to use and share this data, and that you have obtained any consents or have another valid legal basis required by applicable law (including UK GDPR and the Privacy and Electronic Communications Regulations, "PECR") to allow us and our AI systems to contact these individuals by SMS, email, or social media on your behalf.

4. Client Responsibilities

• You are responsible for the accuracy and legality of any Client Data you provide.
• You are responsible for ensuring that any marketing communications sent on your behalf comply with applicable consumer protection, data protection, and electronic marketing laws.
• You must not use our Services to send unlawful, misleading, defamatory, or harassing content.
• You are responsible for reviewing and approving message templates, brand voice guidelines, and automation workflows before they go live.

5. AI-Generated Communications

Our Services use artificial intelligence to generate and send messages, replies, and responses on your behalf. While we design our systems to reflect your brand voice, AI-generated content may occasionally be inaccurate, require correction, or need human review. You remain responsible for monitoring outputs and correcting or disabling automations where necessary.

6. No Guarantee of Results

Any figures, case studies, statistics, or testimonials referenced on our website or in our marketing (including revenue recovered, reply rates, or conversion rates) are illustrative of past client outcomes and are not guarantees of future performance. Results depend on factors outside our control, including the quality of Client Data, your industry, your offer, and market conditions.

7. Fees & Payment

Fees for our Services are set out in your Order Form or agreement. Unless otherwise stated, fees are payable in advance and are non-refundable once work has commenced. Late payment may result in suspension of Services. All fees are exclusive of applicable taxes unless stated otherwise.

8. Term & Termination

Your agreement with us continues for the term set out in your Order Form, or on a rolling monthly basis if no fixed term is specified. Either party may terminate with written notice as specified in your agreement. We reserve the right to suspend or terminate Services immediately if you breach these Terms, misuse the Services, or fail to pay fees when due.

9. Third-Party Platforms

Our Services rely on third-party platforms, including but not limited to GoHighLevel/LeadConnector, SMS gateways, Meta (Facebook/Instagram), and Google APIs. We are not responsible for outages, changes, or restrictions imposed by these third-party providers that may affect delivery of our Services.

10. Intellectual Property

All website content, branding, automation workflows, and proprietary systems built by Wake Productions remain our intellectual property unless otherwise agreed in writing. Client Data and client branding remain the property of the client.

11. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or customer information disclosed by the other party in connection with the Services, and to use it only for the purposes of the engagement.

12. Limitation of Liability

To the fullest extent permitted by law, Wake Productions shall not be liable for any indirect, incidental, or consequential loss, including loss of profits, revenue, or data, arising from your use of our Services. Our total liability for any claim shall not exceed the fees paid by you for the Services in the three (3) months preceding the claim.

13. Indemnification

You agree to indemnify and hold Wake Productions harmless from any claims, damages, or expenses arising from your breach of these Terms, your misuse of the Services, or your failure to obtain proper consent for Client Data.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to These Terms

We may update these Terms from time to time. Continued use of our Services after changes are posted constitutes acceptance of the revised Terms.
